Terms and Conditions

     

EJD Talent Solutions – Terms and Conditions of Service


Effective Date: 07 August 2025


These Terms and Conditions (“Terms”) govern all services provided by EJD Talent Solutions (Pty) Ltd (“EJD”, “we”, “us”, “our”) to any client (“Client”, “you”, “your”) in connection with recruitment, sourcing, and placement services. By engaging with our services, you agree to be bound by these Terms.


1. Scope of Services


EJD Talent Solutions provides:

• Talent sourcing and headhunting

• Shortlisting and screening of candidates

• CV submissions

• Interview coordination

• Remote and on-site candidate placements

• Industry-agnostic recruitment support


We serve clients both locally and internationally, across all levels of employment.


2. Payment Terms

2.1 Payment Structure


EJD Talent Solutions operates on a performance-based module.

• 100% of the placement is due upon the candidate’s confirmed start date.

• Invoices must be settled within 7 (Seven) calendar days of the candidate’s start date.


2.2 Exclusivity


To maintain the quality and efficiency of our service, the Client agrees to provide exclusive sourcing rights to EJD Talent Solutions for a minimum period of 14 (fourteen) calendar days from the signing of the agreement. During which no other recruitment agencies shall be engaged for the same role(s).


2.3 Payment Window


All invoices are due within 7 calendar days from the invoice date unless otherwise agreed in writing. Late payments may attract:


• Interest at 2% per month, and/or

• Suspension of ongoing services


2.4 Definition of “Placement”


A placement is considered successful when:

• A candidate referred by EJD Talent Solutions signs a contract or starts employment, whether temporary or permanent.

• Placement includes full-time, part-time, freelance, contract, or remote engagements.


2.5 Candidate Rehire Clause


If the Client hires a candidate introduced by EJD Talent Solutions, after initially declining them, within 6 months (six) months of the introduction date, the full placement fee remains payable.


3. Candidate Guarantee


If a candidate leaves or is terminated within 15 days of starting employment, we may offer one free replacement (terms and conditions apply). No refunds will be issued.


4. Client Responsibilities


Clients agree to:

• Provide accurate job descriptions, company info, and expectations

• Inform EJD immediately upon hiring a referred candidate

• Not circumvent EJD to hire referred candidates independently

• Maintain professional communication and cooperation during the hiring process


5. Candidate Ownership & Introductions


All candidates introduced by EJD are considered our intellectual property for 12 months from the date of introduction. If a client hires an introduced candidate within this period—directly or indirectly—full placement fees are due.


6. Confidentiality


Both parties agree to keep all candidate information, business practices, and communications confidential unless required by law.


7. Data Protection and Privacy


EJD is committed to complying with the Protection of Personal Information Act (POPIA) in South Africa. All candidate data will be processed, stored, and protected in accordance with privacy regulations and our Privacy Policy.


8. Limitation of Liability


EJD Talent Solutions shall not be liable for:

• Any losses, damages, or costs incurred by the Client due to a candidate’s actions, negligence, misconduct, or failure to meet expectations

• Delays in delivery or sourcing due to factors beyond our control

• Any indirect or consequential damages


We make no guarantees regarding candidate performance, longevity, or culture fit beyond our vetting process.


9. Termination


Either party may terminate the service agreement with written notice. Termination will not affect your obligation to pay for services already rendered or candidates already placed.


10. Force Majeure


We shall not be held liable for delays or non-performance due to events outside our control, including but not limited to: natural disasters, government restrictions, internet outages, or third-party service failures.


11. Governing Law & Jurisdiction


These Terms shall be governed by the laws of the Republic of South Africa. Any disputes arising shall be subject to the jurisdiction of the South African courts.


12. Amendments


EJD reserves the right to update or amend these Terms at any time. The most current version will always be available on our website or upon request.


13. Acceptance


By using our services, paying an invoice, or engaging with EJD Talent Solutions, you confirm that you have read, understood, and agree to these Terms and Conditions.
